The terms and conditions of the Customer Agreement constitute a legal contract between UQFX MARKETS LIMITED (Referred to herein as "UQFX" or "we"), and the party or parties (each referred to herein as a "Client" or "you") executing this agreement.本客户协议的条款和条例构成 UQFX MARKETS LIMITED（以下称为“UQFX”或“我们”）和投资者（以下称为“客户”或“您”）之间的合同条款。
You warrant that all the information disclosed to us, the documentation provided and otherwise is true and accurate. Any changes must be informed to us by mail at support@uqfx.com.请确保您发布给我们的信息是真实可靠的。如信息有变，请您以邮件形式通知 support@uqfx.com。
1. THE SERVICES WE WILL PROVIDE / 提供的服务
1.1 UQFX provides you with an execution-only dealing service in foreign exchange, bullion contracts and contracts for differences in indices ("Contracts").1.1 UQFX 为您提供的外汇、贵金属合约及指数差价合约（统称“合约”）的交易服务性质为“仅执行”。
1.2 Principal Status: Both UQFX and the Client will enter into contracts as principal. You shall be directly and personally responsible for performing your obligations.1.2 主体身份：所有合约不论买卖皆为您与 UQFX 之间、各为主体的交易。您应直接以个人名义负责履行每宗交易所订的义务。
2. EXECUTION / 仅执行交易服务安排
2.1 UQFX will not provide investment advice or recommend the merits of particular transactions. You act as the sole decision-maker.2.1 UQFX 不会就特定交易的优点作出建议。您作为每宗交易的唯一决策者，以“仅执行”性质进行交易。
3. CREDIT / 信贷
3.1 Your credit limit should be no more than the total amount you are prepared to and can afford to lose.3.1 您的信用限额应该不超过您预算及能够承担的损失的总金额。
4. MARGINING ARRANGEMENTS / 保证金安排
4.1 The Client shall provide and maintain margin in such amounts as UQFX may from time to time require.4.1 客户应向 UQFX 提供并维持由 UQFX 不时要求的保证金数额。
4.2 No Third-Party Payments: We will not accept any third-party payments or pay out funds to any third parties.4.2 禁止第三方支付：UQFX 拒绝任何由第三者支付的存款，同时拒绝提款到第三者的账户。
5. INSTRUCTIONS / 交易指令
5.1 UQFX will only accept instructions from the Client or an Authorized Representative. We may require instructions to be in writing or through the Trading Platform.5.1 UQFX 仅接受来自客户或授权代表的指令。我们可能要求指令以书面形式或通过交易平台发出。
5.2 Once an instruction is given and executed, it cannot be rescinded or amended without UQFX's express consent.5.2 一旦指令发出并执行，未经 UQFX 明确同意，不得撤销或更改。
6. INTEREST AND SWAPS / 利息与展期
6.1 No interest will be paid on any money held by UQFX in your account unless agreed otherwise in writing.6.1 除非另有书面约定，否则 UQFX 对您账户中的任何资金均不支付利息。
6.2 Positions held at the close of the business day will be rolled over, and a swap charge or credit will be applied based on prevailing interest rates.6.2 交易日结束时持有的头寸将进行展期，并将根据现行利率收取或存入隔夜利息（Swap）。
7. REPORTING AND STATEMENTS / 报告与对账单
7.1 Confirmations of transactions will be available via the Trading Platform. It is the Client's responsibility to review these for accuracy.7.1 交易确认书可通过交易平台查阅。客户有责任核对这些信息的准确性。
7.2 Any error in a statement or confirmation must be reported to UQFX within 48 hours of appearance.7.2 对账单或确认书中的任何错误必须在出现后 48 小时内报告给 UQFX。
8. REPRESENTATIONS AND WARRANTIES / 陈述与保证
8.1 You represent that you have the full legal capacity to enter into this agreement and that your funds are not derived from any criminal activity.8.2 您声明您具有签署本协议的完全法律行为能力，且您的资金并非来源于任何犯罪活动。
9. FORCE MAJEURE / 不可抗力
9.1 UQFX shall not be liable for any failure to perform obligations due to events beyond its control, including telecommunication failures, market disruptions, or acts of God.9.1 对于因超出控制范围的事件（包括电信故障、市场中断或天灾）而导致未能履行义务的情况，UQFX 不承担责任。
10. EVENTS OF DEFAULT / 违约事件
10.1 An Event of Default includes: (a) failure to pay margin or any other sum due; (b) breach of any warranty or representation; (c) the Client's death or mental incapacity; (d) the Client becomes insolvent or bankrupt.10.1 违约事件包括：(a) 未能支付保证金或任何到期款项；(b) 违反任何陈述或保证；(c) 客户死亡或精神失常；(d) 客户资不抵债或破产。
10.2 Upon an Event of Default, UQFX may, without prior notice, close all or any of the Client's open contracts at the current market price and apply any held funds to satisfy liabilities.10.2 发生违约事件时，UQFX 可在不预先通知的情况下，按当前市场价格关闭所有或任何客户的未平仓合约，并动用所持资金偿还债务。
11. INDEMNITY AND LIABILITY / 赔偿与责任
11.1 The Client shall indemnify UQFX against all liabilities, losses, and costs incurred by UQFX arising out of the Client's breach of this Agreement or any unauthorized use of the Trading Platform.11.1 客户应赔偿 UQFX 因客户违反本协议或任何未经授权使用交易平台而产生的所有债务、损失及费用。
11.2 UQFX shall not be liable for any indirect or consequential loss, including loss of profit or opportunity, regardless of whether UQFX was advised of the possibility of such loss.11.2 UQFX 不对任何间接或后果性损失（包括利润或机会损失）承担责任，无论 UQFX 是否已被告知发生此类损失的可能性。
12. RIGHT OF SET-OFF / 抵销权
12.1 UQFX may at any time, without notice to the Client, set off any liability of the Client against any liability of UQFX to the Client, regardless of the currency or place of payment.12.1 UQFX 可随时在不通知客户的情况下，将客户的任何债务与 UQFX 对客户的任何债务进行抵销，无论其币种或支付地点如何。
13. TAXES / 税务责任
13.1 It is the Client's sole responsibility to ensure that all tax obligations arising from trading activities are fulfilled in their relevant jurisdiction.13.1 客户有责任确保根据其所属司法管辖区的要求，履行因交易活动产生的所有税务义务。
13.2 UQFX is not responsible for providing any tax advice. If UQFX is required to pay any tax on behalf of the Client, such amount will be deducted from the Client's account.13.2 UQFX 不负责提供任何税务建议。若法律要求 UQFX 代客户缴纳税款，该金额将从客户账户中扣除。
14. AMENDMENTS / 协议修订
14.1 UQFX reserves the right to amend this Agreement at any time. Notice of amendments will be provided via the Website or Trading Platform. Continued trading after such notice constitutes acceptance.14.1 UQFX 保留随时修订本协议的权利。修订通知将通过网站或交易平台发布。通知后继续交易即视为接受修订。
15. PRIVACY POLICY / 隐私条款
15.1. The Privacy Policy explains how UQFX collects personal information and then maintains, uses and discloses that information. It also provides some detail about Client's rights.15.1. 隐私条款解释 UQFX 如何收集个人信息并在此之后维系使用以及公开这些信息。同时也提供了一些细节关于客户的权利。
15.2. The UQFX Privacy Policy Statement will be reviewed from time to time to take account of new laws and technology, changes to our operations and practices. Any information we hold will be governed by the most current Statement.15.2. 我们会不时审查隐私政策声明，以考虑新的法律和技术、运营和实践的变化。我们持有的任何信息均受最新的 UQFX 隐私政策声明管辖。
16. GOVERNING LAW AND JURISDICTION / 管辖法律与管辖权
16.1. This Agreement and all transactions between the Client and UQFX shall be governed by and construed in accordance with the laws of Saint Lucia.16.1. 本协议以及客户与 UQFX 之间的所有交易均受圣卢西亚法律管辖，并按其进行解释。
16.2. Both parties irrevocably submit to the non-exclusive jurisdiction of the courts of Saint Lucia for any dispute arising out of this Agreement.16.2. 双方不可撤销地同意，因本协议引起的任何争议均受圣卢西亚法院的非专属管辖。
17. CUSTOMER DECLARATION / 客户签署声明
I/WE HEREBY CONFIRM THAT I/WE HAVE READ, UNDERSTOOD AND ACCEPTED THIS 34-PAGE CLIENT AGREEMENT. I/WE CONFIRM THAT I/WE HAVE THE FINANCIAL CAPACITY TO TRADE IN HIGH-RISK FINANCIAL PRODUCTS.本人/我们在此确认已阅读、理解并接受本客户协议。本人/我们确认具备交易高风险金融产品的财务承受能力。
